Place the matte between the clips and set the upper clip' s " Composite Mode" to " Travel Matte - Luma" . To fade in and out of the matte add key frames a second or 2 from the beginning and end of the matte and change the " Brightness Filter" to all black (100 value), then smooth the key frames. (I split the background clip to the width of the matte to save rendering time.)
